Terms of Service

Please read these terms carefully before using Mol.

These terms are being updated to cover Mol Assured, our transaction-assurance layer. Mol Assured records and enforces commitments and orchestrates partners — it is not a market guarantee, and Mol does not bear price, quality, cargo, or credit risk except as an explicitly disclosed principal. The billing terms in §7 reflect an earlier subscription model and are being restructured around the live model — a free Bhav feed with per-deal fees on Mol Assured. The text below is provisional and under review.

These Terms of Service ("Terms") govern your access to and use of the Mol platform, including the web application, price intelligence outputs, AI assistant, and all related services (collectively, the "Service") operated by Mol ("we", "us", or "our"), a company incorporated in India.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. These Terms constitute a binding legal agreement between you (and the organization you represent) and Mol.

Important — indicative prices only. All prices, nowcasts, landed cost estimates, and cost breakdown figures produced by Mol are model-generated indicative estimates. They are not transaction prices, index prices, nor prices certified by a Price Reporting Agency (PRA). You must not use Mol outputs as reference prices in binding commercial contracts or purchase orders without independent verification from a licensed price reporting source or direct supplier quotation. Mol accepts no liability for losses arising from commercial decisions made on the basis of its outputs.

1. Definitions

"Service" means the Mol web platform, including the price intelligence dashboard, China SG-5/K-67 ex-factory price nowcast, CFR India landed cost calculator, ADD/CVD policy event feed, AI chat assistant (Munim), and any APIs or data exports made available to subscribers.

"Output" means any price estimate, confidence interval, landed cost breakdown, duty waterfall, policy event summary, or AI-generated response produced by the Service.

"Subscriber" or "you" means the individual or legal entity that has registered for an account and accepted these Terms. Where you register on behalf of an organization, you represent that you have authority to bind that organization.

"Account" means the subscription account registered to your organization through which you access the Service.

2. Eligibility and Account Registration

The Service is intended for professional business use only. By using the Service you represent that you are at least 18 years of age, have the legal capacity to enter into binding agreements, and are acting in a professional or commercial capacity on behalf of an organization.

Each subscription covers one legal entity (your organization). Multiple named users within the same organization may access the Service under a single subscription, subject to the seat limits stated in your subscription plan.

You are responsible for maintaining the confidentiality of your account credentials. You must not share login credentials across organizations or with third parties outside your organization. You are liable for all activity that occurs under your account. Notify us immediately via the contact form if you suspect unauthorized access to your account.

We reserve the right to refuse registration or terminate accounts that we determine, at our sole discretion, are being used for purposes inconsistent with these Terms.

3. Permitted Use

The Service and its Outputs are licensed for professional internal business intelligence only. Permitted uses include: informing internal procurement decisions, budget planning, hedging strategy discussion, and market analysis conducted within your organization.

You must not:

  • Resell, redistribute, sublicense, publish, or otherwise make Outputs available to third parties outside your organization, whether in raw or processed form.
  • Use Outputs as a component of any commercial data product, report, or market intelligence service sold or given to clients or customers.
  • Reference Mol price estimates in supplier contracts, purchase orders, tenders, or any legally binding commercial document as the sole price basis without independent verification.
  • Attempt to reverse-engineer, scrape, or systematically extract data from the Service through automated means beyond any API access explicitly provided under your plan.
  • Use the Service for purposes that violate applicable Indian law or any law applicable in your jurisdiction.
  • Circumvent, disable, or interfere with any security features or access controls of the Service.

4. Price Accuracy and No Warranty

Mol produces price estimates using a HistGradientBoosting machine learning model trained on publicly available market data (China PVC spot, DCE V futures, WTI crude, FX rates). All Outputs are labeled "Model-only indicative" and carry an empirical confidence score and confidence interval derived from out-of-sample walk-forward backtesting.

Historical performance statistics (including directional hit rate, mean absolute error, and OOS correlation) are disclosed alongside Outputs and are derived from honest walk-forward backtests. Past performance is not a guarantee of future accuracy. Model performance degrades materially during policy shock weeks (tariff announcements, anti-dumping rulings, supply disruptions); these periods are labeled in the output and excluded from the headline non-shock MAE figure.

The Service is provided "as is" and "as available" without warranty of any kind, express or implied. We make no warranty that: (a) price estimates will match actual market transaction prices; (b) the Service will be uninterrupted, error-free, or available at all times; or (c) any specific directional accuracy will be achieved in future periods.

The FX rates used for CFR landed cost calculations are indicative values, not live bank rates. The freight component is based on SCFI composite index proxy plus a static lane basis and does not reflect real-time negotiated freight rates. For actual import transactions, use your bank's FX desk and confirm current freight rates with your freight forwarder.

5. ADD/CVD Duty Disclaimer

Anti-dumping duty (ADD) and countervailing duty (CVD) rates shown in the Service are indicative only, based on DGTR (Directorate General of Trade Remedies) findings and public case records.

Duty is NOT legally in force until the Central Board of Indirect Taxes and Customs (CBIC) issues a formal customs notification. Mol excludes ADD/CVD from the landed cost waterfall until CBIC notification is confirmed. Anticipated duty ranges are shown separately as scenario inputs.

You must verify the current CBIC notification status before executing any import transaction. This information is provided for informational purposes only and does not constitute legal or customs compliance advice. Consult a licensed customs broker or trade attorney before making import decisions based on duty status.

Mol accepts no liability for any import duty, penalty, or regulatory liability arising from your reliance on duty status information shown in the Service without independent verification.

6. AI Assistant (Munim)

Mol includes an AI chat assistant named Munim, which responds to questions about PVC pricing, market conditions, and duty calculations using the Service's data context. Munim responses are generated by a large language model and are subject to the same "indicative only" limitation as all other Outputs.

Munim is not a financial advisor, commodity broker, customs consultant, or legal advisor. Responses must not be treated as professional advice in any regulated sense. You are responsible for independently verifying any specific figures, rates, or recommendations before acting on them.

Do not submit to Munim any personally identifiable information, confidential business data, or third-party confidential information that you are not authorized to share with a third-party AI service.

Chat queries and session context may be logged for service improvement and safety monitoring, subject to our Privacy Policy.

7. Billing and Subscription

Access to the Service requires a paid subscription. Subscription fees are charged in advance, on a monthly or annual basis as selected at sign-up. All fees are stated in Indian Rupees (INR) exclusive of applicable taxes (GST) unless stated otherwise.

A 7-day free trial is available to first-time subscribers. At the end of the trial period, the subscription will automatically convert to a paid plan unless you cancel before the trial expires. No refunds are issued after the trial period ends. Cancellation takes effect at the end of the current billing cycle; no partial-period refunds are provided.

We reserve the right to change subscription fees with 30 days written notice. Continued use of the Service after the notice period constitutes acceptance of the new fees. If you do not accept the new fees, you may cancel before the notice period expires and your existing rate will apply until the end of your current billing cycle.

In the event of non-payment, we reserve the right to suspend or terminate access to the Service after reasonable notice. Suspended accounts retain their data for 30 days pending payment resolution.

8. Termination

Either party may terminate the subscription with 30 days written notice to the other party. Notice from you must be sent via the contact form. Notice from us will be sent to the email address on your account.

Upon termination, your access to the Service will cease at the end of the notice period (or the current billing cycle, whichever is later). You may export your data within 30 days of the termination date. After that period, we may permanently delete your account data.

We may terminate or suspend your account immediately, without prior notice, if: (a) you materially breach these Terms and fail to cure the breach within 7 days of written notice; (b) you use the Service in a manner that causes legal liability or security risk to Mol or other users; or (c) we are required to do so by law. In the case of immediate termination for cause, no refund of prepaid fees will be issued.

9. Intellectual Property

The Service, including the software, models, methodology documentation, dashboard design, and all original content, is the intellectual property of Mol and its licensors. These Terms do not grant you any ownership rights in the Service or its underlying technology.

You retain ownership of any data you submit to the Service (such as custom freight or FX rate inputs). You grant us a limited, non-exclusive license to process that data to provide the Service to you.

The Mol name, logo, and "Munim" AI assistant brand are trademarks of Mol. You may not use our trademarks without prior written consent.

10. Limitation of Liability

To the maximum extent permitted under applicable Indian law, Mol's total aggregate liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the subscription fees paid by you in the 3 months immediately preceding the event giving rise to the claim.

In no event shall Mol be liable for: (a) indirect, incidental, special, consequential, or punitive damages; (b) loss of profits, revenue, business, data, or goodwill; (c) losses arising from commercial decisions made on the basis of Service Outputs; (d) losses arising from inaccurate price estimates; or (e) losses arising from reliance on ADD/CVD duty status information shown in the Service — even if we have been advised of the possibility of such losses.

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Mol and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service in violation of these Terms; (b) your violation of applicable law; (c) any third-party claim arising from your redistribution or resale of Outputs in breach of Section 3; or (d) any commercial loss suffered by a third party who relied on Outputs you shared with them.

12. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is designated as confidential or that should reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.

Mol's model methodology, feature pipeline specifications, and proprietary scoring algorithms are confidential information of Mol. You may not reverse-engineer, decompile, or disassemble the Service in an attempt to derive that methodology.

13. Privacy and Data

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in that policy.

We implement commercially reasonable technical and organizational security measures to protect your account data. However, no transmission or storage system is perfectly secure. You are responsible for maintaining the security of your own account credentials and for any data you submit to the Service.

14. Modifications to the Service and Terms

We may modify or discontinue features of the Service at any time with reasonable notice. We will not materially reduce core functionality during an active paid subscription period without offering a pro-rated refund or an alternative.

We may update these Terms from time to time. We will notify you of material changes via email or an in-app notice at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any update constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you may terminate your subscription before the effective date.

15. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Mumbai, Maharashtra, India.

Before initiating formal legal proceedings, either party agrees to attempt in good faith to resolve any dispute through direct negotiation for a period of 30 days after written notice of the dispute is given.

16. Miscellaneous

Entire agreement. These Terms, together with any order form or subscription agreement and our Privacy Policy, constitute the entire agreement between you and Mol regarding the Service and supersede any prior or contemporaneous agreements.

Severability. If any provision of these Terms is found to be unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

No waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets without restriction.

Force majeure. Neither party is liable for delays or failures to perform obligations due to causes beyond reasonable control, including acts of God, government action, natural disasters, or internet service provider failures.
